Differences in Positions and Roles Within Corporate Legal Departments

The field of corporate legal work is not simply divided into categories such as “General Counsel,” “attorney,” or “in-house legal staff.” Each position carries distinct roles and responsibilities.

01 - The “specialist execution” tier
Legal Counsel and Legal Expert roles are hands-on professionals working at the front line. Once a person moves into a Legal Manager or Legal Lead role, an element of team management is added. What matters most at this tier is honing one's expertise to a high level, and understanding how that expertise can be leveraged to support the company's business growth.

02 - The “management and functional integration” tier
The Head of Legal is responsible for formulating legal strategy, managing the team, and aligning legal work with the company's overall business objectives. A Head of Legal & Compliance additionally oversees the compliance function, extending into internal controls and risk management.

03 - The “C-suite (executive leadership)” tier
The General Counsel (GC) participates in the company's key decision-making as a strategic advisor to the CEO and the board of directors. The Chief Legal Officer (CLO) holds an executive-level role overseeing governance across the entire organization, while the Chief Compliance Officer (CCO) focuses primarily on compliance risk, corporate ethics, and building and operating internal control systems. What matters at this level is not “which laws you know,” but how you define risk and in which direction you steer the organization.
